1. Introduction

This End User License Agreement (“Agreement”) is a legal agreement between you (“user” or “you”) and 848 Solutions Ltd (“we,” “us,” or “our”) concerning your use of our software, including any associated media, printed materials, and electronic documentation (collectively, “Deal Manager”). 

By installing, copying, or otherwise using Deal Manager, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use Deal Manager.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, and revocable license to use Deal Manager for your personal or internal business purposes in accordance with the terms of this Agreement. Deal Manager is provided for use in conjunction with Microsoft Power Platform, and its functionality is reliant on appropriate Power Platform licensing. 

3. Power Platform Licensing

Deal Manager requires a valid Microsoft Power Platform license to function. These licenses are not included with Deal Manager. However, you can contact us to acquire Power Platform licenses. We also offer options for application support and further assistance with licensing if you require.

 4. License Restrictions

You agree not to: 

1. Distribute, sell, sublicense, lease, or otherwise transfer the Deal Manager to any third party.
2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Deal Manager.
3. Use Deal Manager to develop a competing software product.
4. Remove, alter, or obscure any proprietary notices or labels on Deal Manager.

5. Intellectual Property Rights

Deal Manager and any copies you are authorised to make are the intellectual property of us and our licensors. Deal Manager is protected by copyright and other intellectual property laws. You acknowledge that all intellectual property rights in Deal Manager are owned by us or our licensors. 

6. Maintenance, Updates and Upgrades

We may, from time to time, provide updates or upgrades and generally maintain Deal Manager. These updates, upgrades and maintenance will be subject to the terms of this Agreement or may be provided under additional or modified terms and conditions. 

7. Term and Termination

This Agreement is effective until terminated. We may terminate this Agreement immediately upon notice if you breach any term of this Agreement. Upon termination, you must cease all use of Deal Manager and destroy all copies of it that are in your possession. 

8. Disclaimer of Warranties

Deal Manager is provided “as is” and “as available,” without warranty of any kind. We expressly disclaim all warranties, whether express, implied, or statutory, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Deal Manager will meet your requirements or that use, or operation of Deal Manager will be uninterrupted or error-free. 

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall we be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or related to your use of or inability to use Deal Manager, even if we have been advised of the possibility of such damages. Our liability for any direct loss incurred shall be capped at the price paid by you for Deal Manager. 

10. Indemnification

You agree to indemnify, defend, and hold us and our affiliates, officers, agents, and employees harmless from and against any and all claims, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of Deal Manager or your breach of this Agreement. 

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England. You agree to submit to the exclusive jurisdiction of the English courts to resolve any legal matter arising from this Agreement. 

12. Miscellaneous

1. Entire Agreement: This Agreement, together with our Standard Terms and Conditions for the supply of Goods and Services, constitutes the entire agreement between you and us concerning Deal Manager and supersedes all prior or contemporaneous understandings and agreements.
2. Severability: If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
3. Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
4. Changes to this Agreement: We may, from time-to-time make changes to the terms of this Agreement. Any such changes will be shown on our website at https://848.co/eula-for-surestart-deal-manager/.
5. Audit Rights: We reserve the right to carry out audits from time-to-time to ensure your continued compliance with the terms of this Agreement and appropriate use of Deal Manager.
